Terms of Service

1. Acceptance of Terms

By creating an account or using Kodda (“the Service” or “the Tool”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these terms.

2. Use License and Acceptable Use

Subject to your compliance with these Terms, Kodda grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Tool for your internal business or personal purposes.

Acceptable Use Policy: You agree not to use the Tool to:

  • Upload or generate illegal, harmful, or abusive content.
  • Violate the intellectual property rights of others.
  • Attempt to bypass security measures, rate limits, or reverse-engineer the Tool.
  • Use the tool for spam, malware distribution, or unauthorized scraping.

3. Account Responsibilities

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You are solely responsible for ensuring you have the necessary rights and permissions for any documents or data you upload to the Tool.

4. AI-Generated Content Disclaimer

Kodda utilizes artificial intelligence to generate responses based on your uploaded documents. While we strive for accuracy through Retrieval-Augmented Generation (RAG), AI models may produce inaccurate, incomplete, or misleading information (hallucinations). You acknowledge that you are fully responsible for reviewing and verifying any AI-generated output before relying on it or publishing it. Kodda makes no warranties regarding the absolute accuracy or reliability of generated content.

5. Service Level Agreement (SLA) & Availability

We strive to provide a highly reliable tool, but we do not guarantee 100% uptime. For users on our paid tiers, we aim for a 99.9% uptime target for the core chat API and widget serving. Scheduled maintenance will be communicated in advance. Refunds or credits for downtime are evaluated on a case-by-case basis at our sole discretion.

6. Billing, Refunds, and Cancellation

Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. We do not provide prorated refunds for partial months or unused limits. Add-on purchases (e.g., extra message quotas) are non-refundable.

7. Intellectual Property & Indemnification

You retain all intellectual property rights to the documents and data you upload. Kodda retains all rights to the Tool, its software, and its proprietary algorithms.

You agree to indemnify, defend, and hold harmless Kodda and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Tool, your violation of these Terms, or your infringement of any third-party rights, including intellectual property claims related to the documents you upload.

8. Limitation of Liability

To the maximum extent permitted by law, Kodda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Tool. Our total liability for any claims under these Terms shall not exceed the amount you paid us for the Tool in the twelve (12) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Kodda is legally established, without regard to its conflict of law provisions. Any disputes arising out of these Terms or the use of the Tool shall be resolved through binding arbitration or in the competent courts of that jurisdiction.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or an in-app notification. Continued use of the Tool after changes constitutes acceptance of the updated terms.
